Fiscal 2008 Reference Document available - Adherence to AFEP/MEDEF recommendations concerning the compensation of Directors and the Chief Executive Officer

This document is available in accordance with applicable regulations. It may be viewed on the Sodexo's website (www.sodexo.com > Finance > Regulated information) and the AMF's website (www.amf-france.org). It includes the annual Financial Report, the Report of the Chairman of the Board of Directors on corporate governance and on internal control procedures, the statutory auditors' reports and the information related to their fees.

It should be noted that in accordance with the law n°2008-649 of July 3, 2008, the Report of the Chairman of the Board of Directors mentioned above (as required by Article L.225-37 of the French Commercial Code) was approved by the Board of Directors on November 6, 2008. During this meeting, the Board of Directors examined the AFEP-MEDEF recommendations dated October 6, 2008 concerning the compensation of directors and the Chief Executive Officer of listed companies. The Board of Directors considers that the Company's corporate governance principles are in line with these recommendations. Consequently, the AFEP-MEDEF corporate governance code as modified is considered to be Sodexo's reference for the preparation of the above-mentioned Report of the Chairman of the Board of Directors.
